Nafy.ai Commercial Music License
Important: This license is available exclusively to Nafy.ai annual subscribers
Effective Date: This license takes effect when you activate your annual subscription and download this document
1. Contracting Parties
This legal agreement is made between:
Licensor: Nafy.ai (hereinafter "Platform")
Address: RM A133 OF UNIT 1, 15/F, BLOCK A, WAH SANG BUILDING, NO.14-18 WONG CHUK YEUNG STREET, Sha Tin, Hong Kong
Licensee: Annual plan subscribers of Nafy.ai (hereinafter "Subscriber")
2. Key Terms
2.1 "Platform-Generated Music" means any audio content produced using Nafy.ai's artificial intelligence tools.
2.2 "Commercial Application" includes any revenue-generating use such as streaming royalties, sync licensing, public broadcast, live performance, remixes, and adaptations.
3. Rights Granted
3.1 Subscribers on annual plans receive perpetual, worldwide rights to all music created during their subscription. These rights do not expire when the subscription ends.
3.2 Specifically, you may:
- Copy and distribute the music without restriction
- Broadcast or perform tracks publicly
- Remix, sample, or create new works
- Earn revenue from any commercial use
- Grant sublicenses to third parties
4. Subscriber Obligations
4.1 Subscribers must follow all Nafy.ai platform rules and guidelines.
4.2 Subscribers may not use platform-generated music for illegal purposes or to cause harm.
5. Platform Representations
5.1 Nafy.ai represents that it holds all necessary rights and permissions to offer this licensing arrangement.
5.2 Nafy.ai warrants that platform-generated music does not infringe third-party copyrights.
5.3 Based on the open-source licenses of the underlying AI models, Nafy.ai is authorized to extend commercial rights to subscribers.
5.4 No warranty is made regarding fitness for any particular purpose or quality of output.
6. Limitation of Liability
6.1 Nafy.ai is not liable for any direct, indirect, or consequential damages arising from use of the music.
6.2 The subscriber assumes all risk associated with commercial exploitation of platform-generated content.
7. Training Dataset and License References
7.1 Nafy.ai's AI music systems are trained using open, public-domain, and permissively licensed music materials, including the publicly documented datasets and license references listed below. These datasets are commonly used in music information retrieval, symbolic music, and AI music research.
